Terms of Business ​

1. DEFINITIONS:-

1.1 In these Terms of Business, the following definitions apply:

  • “Applicant”: The individual introduced by Kaizen Sourcing Ltd to the Client for potential engagement, including any officer or employee of the Applicant if the Applicant is a limited company.

  • “Client”: The individual, firm, or corporate body (including any subsidiary or associated company) to whom the Applicant is introduced.

  • “Kaizen Sourcing Ltd” or “the Agency”: Kaizen Sourcing Ltd, acting as a recruitment agency.

  • “Engagement”: The employment or use of the Applicant by the Client or any third party, whether on a permanent or temporary basis, through a contract of service, agency, license, franchise, or any other engagement arrangement.

  • “Introduction”: (i) The sharing of an Applicant’s details (CV or other identifying information) with the Client, or (ii) The Client interviewing an Applicant (via any means), which results in an Engagement.

2. CONTRACTUAL TERMS :- 

2.1 These Terms form a legally binding agreement between Kaizen Sourcing Ltd and the Client. They are deemed accepted upon the Client’s receipt of an Introduction, Engagement of an Applicant, or passing of Applicant details to a third party.

2.2 These Terms constitute the entire agreement between the parties and supersede any other business terms unless agreed in writing by a Director of Kaizen Sourcing Ltd.

2.3 Variations to these Terms must be mutually agreed in writing and communicated to the Client before taking effect.

3. NOTIFICATION AND FEES :-

3.1 The Client agrees to:

a) Notify Kaizen Sourcing Ltd immediately upon making an offer of Engagement to an Applicant. b) Notify Kaizen Sourcing Ltd immediately upon the Applicant’s acceptance of an offer and provide details of the agreed Remuneration. c) Pay Kaizen Sourcing Ltd’s invoice upon receipt, which will be issued on the Applicant’s agreed start date.

3.2 Except in the circumstances outlined in Clause 5.1, no fee is incurred by the Client until the Applicant commences their Engagement.

3.3 Fee Structure:

  • Up to £14,999 – 17.5%

  • £15,000 to £19,999 – 19%

  • £20,000 and above – 22%

3.4 If the Engagement is for a fixed term of less than 12 months, the fee will be charged pro-rata, with no refund entitlement. If the Engagement is extended or the Client re-engages the Applicant within six months of termination, an additional fee applies.

3.5 If the Client re-engages the Applicant within six months of termination, a full fee is payable.

4. REFUNDS :-

4.1 To qualify for a refund, the Client must:

a) Pay Kaizen Sourcing Ltd’s fee upon receipt of the invoice. b) Notify Kaizen Sourcing Ltd in writing within 14 days of the Applicant’s termination.

4.2 If the Engagement terminates within nine weeks (except redundancy), a refund applies per the sliding scale below:

  • Week 1–2: 100%

  • Week 3: 70%

  • Week 4: 50%

  • Week 5–6: 30%

  • Week 7–9: 20%

4.3 An administration fee of £150 + VAT applies if the Applicant leaves within four weeks.

4.4 No refund is provided if the Applicant leaves after the ninth week.

5. INTRODUCTIONS :- 

5.1 Introductions are confidential. If the Client discloses Applicant details to a third party resulting in an Engagement within six months, the Client must pay the full fee without refund entitlement.

5.2 An Introduction fee applies if the Client hires an Applicant within six months of the initial Introduction, whether directly or indirectly.

5.3 Where the exact Remuneration is unknown, the fee is based on the estimated market rate for the role.

6. APPLICANT SUITABILITY AND REFERENCES :-

6.1 Kaizen Sourcing Ltd seeks to verify an Applicant’s identity, experience, qualifications, and authorization to work in the given role.

6.2 Any obtained confirmation of the above will be shared with the Client. If not provided in writing initially, it will be confirmed within three business days.

6.3 Kaizen Sourcing Ltd will take reasonable steps to ensure compliance with legal and professional requirements.

6.4 The Client must also assess Applicant suitability, including reference checks and verifying necessary work permits, medical requirements, and other compliance measures.

6.5 The Client must provide Kaizen Sourcing Ltd with accurate role details, including job responsibilities, location, working hours, remuneration, benefits, and required skills.

7. SPECIAL REQUIREMENTS.

7.1 If the role requires specific qualifications, authorizations, or involves caring for vulnerable individuals, Kaizen Sourcing Ltd will obtain and provide relevant documents and references where possible.

8. LIABILITY :-

8.1 Kaizen Sourcing Ltd is not liable for any loss, expense, damage, delay, or costs arising from:

a) The Introduction or Engagement of an Applicant. b) The Client’s decision to engage or reject an Applicant. c) Any actions or omissions of the Applicant.

8.2 Kaizen Sourcing Ltd does not exclude liability for death or personal injury caused by its negligence.

9. GOVERNING LAW :-

9.1 These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
