KAIZEN SOURCING LTD. TERMS OF BUSINESS FOR THE SUPPLY OF TEMPORARY WORKERS 1. DEFINITIONS 1.1 In these Terms, the following definitions apply: • "Temporary Worker" – The individual introduced by Kaizen Sourcing Ltd. to provide services to the Client. • "Client" – The individual, firm, or corporate entity that engages Kaizen Sourcing Ltd. for the supply of Temporary Workers. • "Assignment" – The period during which the Temporary Worker is supplied by Kaizen Sourcing Ltd. to the Client to work under its supervision and direction. • "Assignment Details Form" – A written confirmation outlining the agreed assignment details before its commencement. • "Charges" – The hourly or daily rates billed by Kaizen Sourcing Ltd. to the Client for the Temporary Worker’s services. • "Engagement" – The employment or use of a Temporary Worker by the Client or any associated entity on a temporary or permanent basis. • "Transfer Fee" – The fee payable if the Client hires a Temporary Worker directly or through another agency within a set period. • "AWR" – The Agency Workers Regulations 2010, which provide certain rights to Temporary Workers. • "Relevant Period" – The period during which a transfer fee applies, as defined in these Terms. • "Working Time Regulations" – The Working Time Regulations 1998 governing working hours, breaks, and rest periods. 2. CONTRACT TERMS 2.1 These Terms constitute a legally binding agreement between Kaizen Sourcing Ltd. and the Client for the provision of Temporary Workers. 2.2 The Client agrees to these Terms by requesting, interviewing, or engaging a Temporary Worker supplied by Kaizen Sourcing Ltd. 2.3 Any variation to these Terms must be agreed in writing by an authorized representative of Kaizen Sourcing Ltd. 3. CLIENT OBLIGATIONS 3.1 The Client must provide accurate details of the role, location, working hours, required qualifications, and any health and safety risks before the start of an Assignment. 3.2 The Client must comply with relevant employment laws, including the Working Time Regulations and AWR.3.3 The Client must notify Kaizen Sourcing Ltd. in writing of any complaints from the Temporary Worker concerning working conditions, pay, or rights under AWR. 3.4 The Client must not engage the Temporary Worker directly or via another agency during the Relevant Period without paying the Transfer Fee. 4. CHARGES AND PAYMENT TERMS 4.1 The Client agrees to pay Kaizen Sourcing Ltd. the agreed charges for Temporary Workers, which include wages, national insurance contributions, statutory entitlements, and a management fee. 4.2 Invoices are issued weekly and must be paid within 7 days of the invoice date. Unless otherwise agreed. 4.3 Late payments will incur interest at 2% per month above the base rate. 4.4 No refunds are provided once a Temporary Worker has commenced an Assignment. 5. TEMPORARY WORKER SUPPLY AND SUITABILITY 5.1 Kaizen Sourcing Ltd. ensures Temporary Workers meet the necessary qualifications, experience, and authorizations for the role. 5.2 The Client is responsible for supervising the Temporary Worker and ensuring they meet the required performance standards. 5.3 If the Client finds a Temporary Worker unsuitable, they must notify Kaizen Sourcing Ltd. immediately. If a Temporary Worker is terminated within 4 hours, no charge applies. 6. TRANSFER AND DIRECT ENGAGEMENT FEES 6.1 If the Client engages a Temporary Worker directly or through another employment business within the Relevant Period, a Transfer Fee of 15% of the Temporary Worker’s annual salary (or an agreed sum) is payable. 6.2 Alternatively, the Client may continue to engage the Temporary Worker through Kaizen Sourcing Ltd. for an extended period to avoid the Transfer Fee. 7. LIABILITY AND INSURANCE 7.1 Kaizen Sourcing Ltd. is not liable for any loss, expense, or damages arising from a Temporary Worker’s negligence, misconduct, or unsuitability. 7.2 The Client is responsible for ensuring a safe working environment and must have adequate Employer’s and Public Liability Insurance for Temporary Workers. 8. CONFIDENTIALITY & DATA PROTECTION 8.1 All personal data relating to Temporary Workers and assignment details must be kept confidential and handled in accordance with UK Data Protection Laws. 8.2 Kaizen Sourcing Ltd. will process Temporary Worker and Client data solely for the purpose of fulfilling assignments. 9. TERMINATION OF ASSIGNMENT9.1 The Client, Kaizen Sourcing Ltd., or the Temporary Worker may terminate an Assignment at any time without prior notice. 9.2 The Client remains liable for all charges incurred up to the termination date. 10. GENERAL TERMS 10.1 These Terms are governed by the laws of England and Wales. 10.2 Any disputes will be resolved under the exclusive jurisdiction of the courts of England and Wales.
